Yuxiang Zhou

Senior Counsel    

  As a graduate of Tsinghua University (LL.B.) and Duke University (LL.M.), Yuxiang currently serves as a Senior Counsel as well as the Deputy Director and Secretary-General of the Committee on Cross-Border Legal Affairs at S&P Law Firm. As a full-cycle legal expert for companies expanding overseas and a specialist in complex domestic and cross-border dispute resolution, he has long advised Chinese enterprises on overseas investments, financings, project operations, and exits, with particular expertise in coordinating complex compliance and dispute resolution matters across multiple jurisdictions. Prior to joining S&P, he worked at the Beijing office of King & Wood Mallesons.
  In the context of cross-border transactions and project practice, Yuxiang has long been involved in Chinese enterprises' overseas investments, mergers and acquisitions, and cross-border construction projects. Against the backdrop of the national "Going Global" strategy and the Belt and Road Initiative, Yuxiang provides legal support on matters such as project investment structures, financing arrangements, contract system design, compliance, and risk control. He also offers day-to-day legal advisory services to multiple enterprises on issues including investment and financing, intellectual property, and cross-border operational compliance.
  In the field of digital assets and fintech, Yuxiang is committed to exploring the regulatory trends and application scenarios of real-world asset tokenization (RWA). He collaborates with leading experts and scholars in this field and has published research findings in internationally renowned legal journals and on various academic platforms, providing forward-looking institutional observations and compliance pathway recommendations for the industry.
  In the field of dispute resolution, Yuxiang specializes in handling complex and challenging cross-border disputes. His experience includes managing major cross-border asset recovery cases, white-collar criminal defense matters, and both domestic and international commercial disputes. These cases have encompassed civil and criminal litigation as well as international arbitration proceedings across multiple jurisdictions, including China, the United States, Germany, and Sweden. He is also adept at assisting clients in resolving intricate cross-border commercial disputes through negotiation and alternative dispute resolution (ADR) mechanisms, ensuring effective and efficient outcomes.

Experience

  • Litigation and Arbitration:
    -Represented three major state-owned enterprises (“SOEs”) in mega cross-border asset recovery cases, handling domestic investigations, evidence collection, and litigation in foreign courts. Achieved strategic goals, secured favorable judgments, and recovered substantial assets for clients
    -Represented a prominent SOE in a series of international arbitration cases exceeding CNY 200 million stemming from a railway construction subcontracting project in a South American country, defending against claims and filing counterclaims before CIETAC. Directly saved CNY 18 million for the client and obtained awards in favor of the client in different phases of the arbitration
    -Represented a well-known PRC automobile enterprise in the investigation, evidence collection, and US court proceedings initiation on its US subsidiary executives’ crime (more than USD 150 million involved). Negotiated a settlement that safeguarded the client’s key overseas assets
    -Represented a leading PRC engineering technology company in a USD 550 million international arbitration case involving SIAC and UNCITRAL rules, related to a steel mill dispute in Southeast Asia
    -Represented a foreign high net-worth individual in a series of civil and administrative litigations involving CNY 200 million related to debt repayment and enforcement settlement in Guangdong Province
    -Represented a subsidiary of a chemical SOE in defending its Saudi Arabia pipeline project dispute arbitration at CIETAC
    -Represented a Sichuan-based material company in a CNY 200 million contract dispute involving electrolytic aluminum production capacity indicators, handling retrial applications, civil protests and administrative litigation procedures
    -Represented an Inner Mongolia-based real estate company in filing a civil protest regarding a CNY 80 million construction contract dispute
    -Represented a major domestic transportation equipment manufacturing company in Jiangsu in applying for enforcement objections in a complex debt case spanning 11 years and involving nearly CNY 70 million, with multiple rounds of debt transfers and interest calculations
    -Represented a listed Jiangsu specialty equipment manufacturer in filing a lawsuit and responding to a counterclaim regarding a construction contract dispute involving CNY 100 million
    -Represented a Xi'an-based real estate company in an enforcement objection application case involving the ownership of all ground-floor commercial properties in nine residential buildings
    -Assisted a Zhejiang medical company in securing a favorable arbitration award concerning a payment dispute with a German company, and facilitated the recognition and enforcement of the arbitral award in Germany
    -Represented diverse clients in cross-border recognition, enforcement, and other procedures for arbitral awards or judicial judgments in multiple cases before the courts of Yemen, Kuwait, Hong Kong SAR, and other countries/regions

  • Alternative Dispute Resolution:
    -Represented a prominent private international contractor in the termination and settlement negotiations for two EPC projects in Yemen and participated in the parallel letter of indemnity (“LOI”) litigation in China, successfully concluded the termination procedure, and secured a comprehensive victory in the LOI litigation
    -Represented a significant industrial SOE’s subsidiary in the contract terminations concerning the Ethiopia Mekele PVC manufacturing plant EPC project, facilitated the cancellation of the project company
    -Represented a major energy SOE’s subsidiary in the claim on issues in quarrying, processing, and transportation of stones with a subcontractor involved in a Guinea construction project
    -Represented a large SOE’s subsidiary in the negotiation with its JV member on a Bangladesh railway project
    -Represented a major power SOE in the pursuit of fraudulent funds and successfully filed a case with the FBI
    -Provided legal advisory services and comprehensive solutions for a local government's housing demolition and relocation work
    -Advised multiple contractors in complex construction claims, resulting in successful project funding acquisition

  • Overseas Infrastructure & Construction:
    -Represented a major energy SOE’s subsidiary in a significant Vietnam wind power advance acquisition initiative, successfully established its Hong Kong project platform company
    -Represented Sinosure in multiple legal due diligence in export credit insurance (“ECI”) undertaking projects in Thailand, Indonesia, and other countries
    -Represented a leading coal enterprise in structuring transactions and drafting contracts for an Indonesia shaft excavation project
    -Provided legal advice to a foreign enterprise regarding its offshore wind power investment strategy in China
